OPTIONAL AMENDMENT TO ARTICLE XVII
OF THE STANDARD BYLAWS FOR CREDIT UNIONS
ARTICLE XVII
GENERAL
Section 6. Select one of the following two provisions:
[ ] Prior to the Board of Directors voting on a proposal to convert to a mutual savings bank or other savings association that is in mutual form in accordance with NCUA Rule 708a.3(a)(3)(c), said Board must have approval from the membership. As such, the affirmative majority vote of the entire membership at a special meeting called specifically for that purpose shall be required to authorize the credit union's Board to vote on such a conversion.
[ ] Prior to the Board of Directors voting on a proposal to convert to a mutual savings bank or other savings association that is in mutual form in accordance with NCUA Rule 708a.3(a)(3)(c), said Board must have approval from the membership. As such, the affirmative vote of 2/3 of all members of this credit union who voted at a special meeting called specifically for that purpose shall be required to authorize the credit union's Board to vote on such a conversion.
